The contractor and AfDB will identify small-scale high-impact highly replicable climate change adaptation demonstration projects, that are suitable for AfDB"s Adaptation Benefits Mechanism (ABM), seeking to mobilize higher amounts of funding than available through the PACO small grants from Output 3. The specific objective is to establish and implement four new and fully validated ABM-Projects, developed according to the ABM Activity Cycle, that will catalyse up to four million Euro of public or private money via the issuance of Certified Adaptation Benefits (CAB). The basis for the four ABM Projects to develop are the identified projects from Output 3 suitable for an ABM Activity. To obtain the CABs, issued by the AfDB and the goal of the activity, the contractor must in collaboration with AfDB, guide the ABM Activity Participants during the ABM Activity Cycle. Both the small-scale adaptation project, implemented by the project developer under Output 3 and financed by GIZ (responsibility of GIZ), and the demonstration of the ABM must be fully implemented within the project duration (responsibility of the contractor). Reverse linkages are a mechanism developed by the Islamic Development Bank to establish partnerships between institutions in countries in the global South. In each partnership an institution with proven knowledge, expertise, technology, and resources is the provider of knowledge; the recipient of knowledge can be a public, private, or third-sector organization. The institutions involved must be IsDB members; this limits PACO participation to Benin, Ivory Coast and Senegal, and to the CCRS , since the Republic of Congo is not a member of the IsDB. The contractor will support IsDB to conduct a stakeholder assessment in each of the three member countries to identify interest and needs among institutions in the three target countries in being the recipient organization in a reverse linkage relationship. Where this offers a good opportunity, the contractor will, with help and consent of the IsDB, identify knowledge-providing institutions (the "Resources-Centre") to work with the concerned institutions and will facilitate planning and establishing the partnerships. The resulting partnerships may offer a range of services to recipient countries, including training, coaching, advisory services, technology transfer, demo sites, and others. Once set up, the partnerships usually last for a period of three years, so the process will be carried out during the life of the PACO project. The work is structured across three main pillars: strategic and policy development, technical implementation of EMV initiatives, and capacity and organizational development. Together, these tasks aim to ensure that Jordan is able to adapt its trade and industrial policies to global and regional dynamics, while simultaneously strengthening the competitiveness of small and medium-sized enterprises (SMEs) and improving the enabling environment for export promotion, innovation, and digitalization. The 3 pillars of this assignment are elaborated below: 1. Strategic and Policy Development A core element of the assignment is to provide ongoing technical and policy advisory support to MoITS in order to guide the targeted planning and implementation of EMV Phase II. This includes assisting the Ministry of Industry, Trade, and Supply (MoITS) in developing and reviewing its strategies / executive actions plan (e.g., export, industrial, etc.). A key dimension is to support designing strategic initiatives that respond to emerging challenges and opportunities at both the regional and global levels. Additionally, this task will support the Government's efforts in promoting innovation and economic complexity as means for diversifying products and export markets, thus ensuring that Jordan's export base is more resilient and adaptive to shifting global demand. Capacity and Organizational Development The third major component of the assignment focuses on strengthening the institutional and organizational capacities of MoITS and other relevant public sector bodies involved in EMV implementation. This includes conducting a capacity development and training needs assessment to identify both strategic and technical areas where MoITS and related public sector entities require additional expertise to strengthen their role in designing, implementing, and monitoring strategies. As the project's political partner, MoITS plays a central role in coordinating the implementation of EMV both internally (within the Ministry) and externally (with development partners / donors and public and private sector entities). (hereinafter: PEJ) is responsible for preparing and implementing the investment process for the construction of the Poland’s first nuclear power plant (NPP1). The planned facility will have the total capacity of up to 3750 Mwe and will be located in the municipality of Choczewo at the Lubiatowo Kopalino site (hereinafter: Project). 1. The Subject of the Procurement Contract includes the provision of specialized legal advisory services in the area of external financing granted to the Company by financial institutions (banks, export credit agencies, hedging parties, etc.) for the purpose of financing the Project. 2. The advisor’s support will primarily include providing the Services in respect of the Transaction, including in particular: participation in preliminary legal due diligence of the Company, including execution of a red flag report (and reliance letters issued in favor of the respective Financing Parties, if required) or providing legal support and assistance to the Company during the due diligence process operated by the Financing Parties’ legal counsel (depending on the case); participation in the development of the legal structure for the Transaction (including the scope of the Transaction Documents) in cooperation with other advisors to the Company including the financial advisor; reviewing, analyzing and providing amendments to the Transaction Documents; active participation in and negotiating Transaction Documents with Financing Parties and their advisors and providing legal advisory (including in regulatory aspects of the Project to the extent required for the Transaction); preparing and collecting documents and evidences constituting conditions precedent (including issuing legal opinions required by Financing Parties); managing the process of negotiating and entering into the Transaction Documents and establishment of the security interest; navigating and coordinating each stage of the Transaction from the Company’s perspective with multiple Financing Parties and their advisors of any type (e.g. legal, financial, technical), in cooperation with the Company’s financial advisor and the coordinator(s) appointed by the Company; ongoing cooperation with the Company and its advisors, Financing Parties, the Lenders’ insurance advisor.
