10Multi-Operator Framework Agreement for the provision of Site Investigation Services

JuliBACKGROUND: -- The purpose of this Prior Information Notice (PIN) is to inform prospective candidates of the potential opportunity relating to The Land Development Agency (LDA), for the Site Investigations Framework. The LDA was established in September 2018 and is a key Irish Government land management initiative. The Government has committed to providing the LDA with equity capital of up to €8.75 billion to facilitate large scale delivery of housing. Our core objectives are to: • Coordinate appropriate State lands throughout the country for regeneration and development, opening up key sites for housing delivery. • Driving strategic land assembly, working with both public and private sector land owners; • Contributing towards the delivery of affordable housing; and • Become a leading influencer of housing and land management, through research and innovation DESCRIPTION OF THE FRAMEWORK: -- The framework is intended to cover site investigations works related to Geotechnical and Geoenvironmental specialties. The framework will be utilised to engage contractors to undertake intrusive site investigation works specified by the project engineer. Examples of the intrusive investigations include; • Trial Pits to 3m • Boreholes to 15m • Rotary Cores to 20m • Geotechnical Lab tests • Geoenvironmental Lab Tests The framework will be utilised for LDA Projects throughout Ireland. The sites will vary in size and complexity. Projects will be focused on residential use, with a variety of high-density developments and low-density developments. The development sites may be Greenfields or brownfields sites. The framework members will be expected to undertake the intrusive site investigations works on site and produce the accompanying reporting. They will be expected to have suitably qualified and experienced resources in Geotechnical and Environmental disciplines. Examples of the required reporting include; • Geotechnical o Factual Ground Investigation Report o Interpretative Ground Investigation Report • Geoenvironmental o Waste Classification Report o Geoenvironmental Soil Classification Drawings o GQRA It is anticipated that the framework will have a duration of four (4) years with an estimated value of four (4) million euros total. This figure is indicative only, as there is no guaranteed expenditure under the Framework Agreement. DESCRIPTION OF THE PROCUREMENT: -- The framework is intended to be established through a one-stage Open Procedure in accordance with Directive 2014/24/EU, with up to six economic operators appointed. (hereinafter: PEJ) is responsible for preparing and implementing the investment process for the construction of the Poland’s first nuclear power plant (NPP1). The planned facility will have the total capacity of up to 3750 Mwe and will be located in the municipality of Choczewo at the Lubiatowo Kopalino site (hereinafter: Project). 1. The Subject of the Procurement Contract includes the provision of specialized legal advisory services in the area of external financing granted to the Company by financial institutions (banks, export credit agencies, hedging parties, etc.) for the purpose of financing the Project. 2. The advisor’s support will primarily include providing the Services in respect of the Transaction, including in particular: participation in preliminary legal due diligence of the Company, including execution of a red flag report (and reliance letters issued in favor of the respective Financing Parties, if required) or providing legal support and assistance to the Company during the due diligence process operated by the Financing Parties’ legal counsel (depending on the case); participation in the development of the legal structure for the Transaction (including the scope of the Transaction Documents) in cooperation with other advisors to the Company including the financial advisor; reviewing, analyzing and providing amendments to the Transaction Documents; active participation in and negotiating Transaction Documents with Financing Parties and their advisors and providing legal advisory (including in regulatory aspects of the Project to the extent required for the Transaction); preparing and collecting documents and evidences constituting conditions precedent (including issuing legal opinions required by Financing Parties); managing the process of negotiating and entering into the Transaction Documents and establishment of the security interest; navigating and coordinating each stage of the Transaction from the Company’s perspective with multiple Financing Parties and their advisors of any type (e.g. legal, financial, technical), in cooperation with the Company’s financial advisor and the coordinator(s) appointed by the Company; ongoing cooperation with the Company and its advisors, Financing Parties, the Lenders’ insurance advisor. Lender’s technical advisor and other advisors to the Financing Parties during each stage of the Transaction; and additional legal advisory necessary, desirable or required in connection with the Transaction, including issuance of legal opinions and memorandums (relating to the Transaction or the Project) as required by PEJ.
