The development of a venue of this scale has been an objective of the Contracting Authority since the 1990s and reflects long-standing strategic planning policy at national and regional levels. The CEC will be marketed at regional, national, and international levels and should demonstrate a standard of quality comparable with leading event and convention facilities elsewhere. The design and specification should be capable of attracting high-profile events, conferences, and performers, ensuring the centre’s competitiveness within the wider market. Flexibility will be a core design principle, with facilities required to be robust, durable, and suitable for intensive public use. Whole-life performance and operational efficiency will be central considerations, including energy use, maintenance, cleaning, and servicing. The duration of the concession period will be determined during the competition in accordance with Directive 2014/23/EU. It is therefore not possible, at this stage, to provide a reliable estimated value of the overall contract(s). The purpose of this procurement is to meet the ministries’ need for the rental of press platforms (press decks), as well as the provision of associated equipment and services. Associated equipment refers to technical equipment, including solutions for lighting, image, and sound related to press stands. Associated services refer to project management, rigging, and technical staffing during planning and execution. The events may include various types of occasions, for example high-level state visits. Such events are characterized by the fact that the date and scope are often not known well in advance. Activation of assignments may therefore occur at short notice, and in some cases, initial delivery may be required within just a few hours after the order is placed. The events are often carried out under a high level of security. The objective of the procurement is to enter into a framework agreement with a single total supplier with the capacity and expertise to meet the overall need. The framework agreement has a duration of 2 + 1 + 1 years. The maximum value of the framework agreement is set at NOK 20 million, excluding VAT. The agreement is not exclusive. The contracting authorities have the right, but not the obligation, to award contracts under this framework agreement. The contracting authorities are not obligated to purchase a specific volume during the term of the agreement. (hereinafter: PEJ) is responsible for preparing and implementing the investment process for the construction of the Poland’s first nuclear power plant (NPP1). The planned facility will have the total capacity of up to 3750 Mwe and will be located in the municipality of Choczewo at the Lubiatowo Kopalino site (hereinafter: Project). 1. The Subject of the Procurement Contract includes the provision of specialized legal advisory services in the area of external financing granted to the Company by financial institutions (banks, export credit agencies, hedging parties, etc.) for the purpose of financing the Project. 2. The advisor’s support will primarily include providing the Services in respect of the Transaction, including in particular: participation in preliminary legal due diligence of the Company, including execution of a red flag report (and reliance letters issued in favor of the respective Financing Parties, if required) or providing legal support and assistance to the Company during the due diligence process operated by the Financing Parties’ legal counsel (depending on the case); participation in the development of the legal structure for the Transaction (including the scope of the Transaction Documents) in cooperation with other advisors to the Company including the financial advisor; reviewing, analyzing and providing amendments to the Transaction Documents; active participation in and negotiating Transaction Documents with Financing Parties and their advisors and providing legal advisory (including in regulatory aspects of the Project to the extent required for the Transaction); preparing and collecting documents and evidences constituting conditions precedent (including issuing legal opinions required by Financing Parties); managing the process of negotiating and entering into the Transaction Documents and establishment of the security interest; navigating and coordinating each stage of the Transaction from the Company’s perspective with multiple Financing Parties and their advisors of any type (e.g. legal, financial, technical), in cooperation with the Company’s financial advisor and the coordinator(s) appointed by the Company; ongoing cooperation with the Company and its advisors, Financing Parties, the Lenders’ insurance advisor.
