[SCOPE OF TENDER......] The contracted firm will deliver the following: Inception and Fund Options Appraisal • Review the LEAD Africa Project Document and relevant UNDP, African Union, AMDC, REC, AfCFTA and national frameworks. • Compare viable models, including catalytic funds, blended-finance vehicles, funds of funds, project-preparation facilities, co-investment platforms and phased hybrid approaches. • Recommend a preferred option and define its investment thesis, eligibility criteria, development additionality and target beneficiaries. Fund Architecture and Operating Model • Define indicative target size, phasing, capital stack, investor classes, financial instruments and risk-sharing mechanisms. • Propose governance bodies, investment-committee arrangements, fiduciary and fund-management options, and conflict-of-interest controls. • Set out an indicative fees and cost model, risk-management framework and impact-management approach. • Integrate responsible-mining, ESG, gender, community and UNDP social and environmental safeguard requirements. Capitalisation and Investor Engagement • Identify prospective African and international DFIs, sovereign wealth funds, pension funds, insurers, asset managers, development partners, climate-finance providers, commercial investors and strategic industry partners. • Develop an anchor-investor value proposition, resource-mobilisation strategy and sequenced investor-engagement plan. • Prepare a concise fund or advisory-facility pitch deck for stakeholder and investor engagement. Pipeline and Project Preparation • Develop screening criteria, readiness diagnostics and project-preparation pathways for potential investments. • Identify technical-assistance and transaction-support needs and prepare an initial illustrative pipeline or opportunity archetypes across priority value chains, SEZs and industrial hubs. • Summarise indicative financing needs, readiness gaps, development impact and recommended next-stage preparation for each opportunity. Legal, Institutional and Establishment Roadmap • Map legal, regulatory, fiduciary, tax, licensing and institutional issues requiring specialist follow-on advice in potential host jurisdictions. • Consult relevant governments, AUC/AMDC, RECs, DFIs, investors, operators, project developers, industry associations and development partners to validate demand and governance preferences. • Prepare a sequenced 12-24 month establishment roadmap covering approvals, institutional agreements, legal and fiduciary work, resource mobilisation, staffing, pipeline development, safeguards, communications and early pilots. Sept.UNCDF would like to enter into a non-exclusive Framework Agreement, also known as Long-Term Agreement (LTA), with a roster of consultants that will perform the services described in this TOR on a need-basis. In UNCDF, an LTA is a framework agreement between UNCDF and a company or individual where the latter may, at any time within the duration of the LTA, be required to render the agreed services at the agreed and fixed unit prices. An LTA can be valid for a minimum period of 12 months, with potential extension for up to two (2) additional years, depending on satisfactory performance of the individual / company. Where a request for service arises, UNCDF can engage the individual holding an LTA through a “call-off” of the LTA. Every call-off shall have specific tasks, scope of services and outputs to be delivered within a specific period of time. For this particular work, the call-off shall be formalized through the issuance of a Purchase Order, attaching thereto the TOR, and any other document relevant to the call-off. Financial commitments will only be established each time a Purchase Order for the specific services/TOR for Individual Contractor is issued. Okt.The National Treatment Purchase Fund (NTPF) is seeking to secure the services of suitably qualified and experienced service provider to provide Design and Project Management Services for the proposed new Office Fitout. This project will comprise a high-end interior design and commercial office fit-out for the NTPF at an office space to be determined. The NTPF has begun the process of identifying suitable office space that will meet all of its requirements. The NTPF is looking at available office space across the Dublin Central Business District with a minimum Category A fitout. The NTPF will then need to fitout the offices to a good modern office standard. It is also possible that office space may be identified that is a viable turn-key option so the volume of work that may be required under this contract is totally dependent on the office space shortlisted. Turn key options may still require some re-design but of a limited nature. In contrast to a turn key option, the objective may be to transform the shell-and-core or Category A space into a fully functional, high-performance, and brand-aligned workplace. The successful tenderer may be required to carry out initial space planning assessment on a number of shortlisted offices to determine suitability.
