Framework agreement for the provision of legal advisory services as Borrower's Legal Advisor in connection with financing of the NPP1
Polskie Elektrownie Jądrowe Sp. z o.o. (hereinafter: PEJ) is responsible for preparing and implementing the investment process for the construction of the Poland’s first nuclear power plant (NPP1). The planned facility will have the total capacity of up to 3750 Mwe and will be located in the municipality of Choczewo at the Lubiatowo Kopalino site (hereinafter: Project). 1. The Subject of the Procurement Contract includes the provision of specialized legal advisory services in the area of external financing granted to the Company by financial institutions (banks, export credit agencies, hedging parties, etc.) for the purpose of financing the Project. 2. The advisor’s support will primarily include providing the Services in respect of the Transaction, including in particular: participation in preliminary legal due diligence of the Company, including execution of a red flag report (and reliance letters issued in favor of the respective Financing Parties, if required) or providing legal support and assistance to the Company during the due diligence process operated by the Financing Parties’ legal counsel (depending on the case); participation in the development of the legal structure for the Transaction (including the scope of the Transaction Documents) in cooperation with other advisors to the Company including the financial advisor; reviewing, analyzing and providing amendments to the Transaction Documents; active participation in and negotiating Transaction Documents with Financing Parties and their advisors and providing legal advisory (including in regulatory aspects of the Project to the extent required for the Transaction); preparing and collecting documents and evidences constituting conditions precedent (including issuing legal opinions required by Financing Parties); managing the process of negotiating and entering into the Transaction Documents and establishment of the security interest; navigating and coordinating each stage of the Transaction from the Company’s perspective with multiple Financing Parties and their advisors of any type (e.g. legal, financial, technical), in cooperation with the Company’s financial advisor and the coordinator(s) appointed by the Company; ongoing cooperation with the Company and its advisors, Financing Parties, the Lenders’ insurance advisor. Hellenic Corporation of Assets and Participations S.A. (“HCAP”) is interested in hiring and cooperating with a domestic or a foreign company or with an association or a consortium of domestic and/or foreign companies specializing in the development of complex and large-scale development projects related to real estate and infrastructure for monitoring the execution and implementation of the Integrated Development Plan of the Ellinikon Project and granting consents for derogation and deviation from the Integrated Development Plan or Business Plan. Also granting opinions, reports and other relevant consents or approvals that derive from the commitments of the SPA. Technical advisory services on the development of the National Health Insurance scheme in Nepal
Nepal has made significant progress in improving the overall health status of the population, with huge improvements in life expectancy and reductions in maternal and child mortality rates. However, access to quality healthcare remains unequal, as many citizens face barriers due to geography, socio-economic status, and economic constraints. Nepal National Health Accounts (NHA) report indicates that out-of-pocket (OOP) healthcare expenses accounted for 54.2% of total health spending in 2019/20, exceeding the South Asian average of 48.2% (WHO 2023). Government contributions to health expenditure are only 30%, which is lower than the regional average of 42% (WHO GHED 2023). A 2018 study found that 10.3% of households faced catastrophic health expenditures monthly (Ghimire et al. 2018). Furthermore, the report found that 10.7% of households spent 10% of their total household expenditure on health and 2.4% even spent 25%, implying that Nepalese households face increased vulnerability to catastrophic health expenditures risking impoverishment (ADB 2024). To achieve Universal Health Coverage (UHC), Nepal seeks to reduce OOP spending through the National Health Insurance (NHI), launched in 2016. This initiative, overseen by the Health Insurance Board (HIB), aims to provide universal access to quality health services, primarily for the informal sector. Currently, the NHI is operational in all 753 local structures across 77 districts. Though the Health Insurance Act 2017 has clearly mentioned the health insurance to be mandatory, in practice this is not yet enforced; highlighted by the fact that out of 8.1 million ever-enrolled, currently only 4.4 are actively insured as of June 2024. The increasing coverage and expansion of the NHI is a priority to the Government of Nepal (GoN) and strengthening the institution has been identified as an important action area within the strategies in both the National Health Financing Strategy (NHFS) 2022-2032 and in the National Health Sector Strategic Plan (NHSSP) 2022-2030. GIZ has been supporting the national health insurance program since 2013, on policy advisory aspects as well as technical aspects. To strengthen HIB, GIZ supported a pool of experts through the Support to Health Sector Strategy (S2HSS) program in 2023. The pool of experts supported in defining roles and responsibilities of the policy, planning and monitoring department (PPMD) and developing job descriptions for those assigned to the departments, as envisioned in the Organisation and Management (O&M) survey. Meanwhile, in the current context of HIB with constrained institutional capacity despite having developed numerous strategic documents in 2023, prioritizing its execution along with implementation of necessary reforms is now critical. Additionally, increasing population coverage, contextually redefining the benefit package, enhanced claims processing, strategic purchasing, actuarial analysis for decision modelling, using data analytics for enhancing quality of care and coordination with other actors like the Social Security Fund (SSF), Employee"s Provident Fund (EPF) etc. is vital to improve efficiency and avoid redundancy in successful implementation of the health insurance program. In order to address these policy, strategy and operational level challenges, GIZ calls for a team of nine short-term and long-term experts with diverse expertise for building up the health insurance to strengthen the institutional capacities of the HIB and other social protection actors to implement the national health insurance program in Nepal. The team will consist of 2 international experts on organizational management and health insurance, 1 short-term national senior expert on health insurance, 4 national short-term experts (covering the topics insurance law, health economics, quality management and actuary analysis) and 2 national long-term experts (health economist and Monitoring & Evaluation specialist). The contract shall be managed and overseen by an international team leader and supported by a national team leader. The period of assignment of the contract will be 01 April 2025 to 31 March 2026. The justification for awarding to the Contracting Authority assesses that there is a basis for entering into a temporary contract directly with Vivicta AS. The contracting authority will not use this notice as a final choice for future administrative digital target architecture, system model or contract structure. Future strategic direction shall be assessed through a separate management process, market dialogue and any procurements. The justification for the temporary contract is that the contracting authority is in a forced continuity situation connected to the existing production system. The situation is triggered by the manufacturer/supplier ́s technological direction and information that the current delivery platform cannot be continued unlimited. At the same time, future strategic direction for the administrative system landscape is not finally defined. Within the available timeframe, the contracting authority ́s assessment is not a real and reliable alternative that can ensure a continuation of the existing production system and the accompanying performance critical administrative core functions without unacceptable operational risk. The existing system has been established, configured and integrated over a long period of time. It is included in ongoing finance, invoice, reporting, integration and data basis processes. The system has integrations, data, roles, access structures, reporting set-up and management routines that are connected to the existing delivery model and the tenderer's operational and management responsibilities. The contracting authority will assess that clarification of future target architecture, market dialogue and any procurements for this system area will require considerable time. A procurement process is expected to take at least 12 months, and subsequent implementation, migration, testing, training, integration work and production will normally require a further 12-24 months. An immediate competition for full compensation or future target architecture will therefore not be able to help the acute continuity need. Alternative suppliers will also not be able to take over responsibility for the existing production system in a proper manner within the available deadline, without access to the necessary rights, system competence, operational environment, history, configuration, integration knowledge and supplier specific management competence. The agreement is, therefore, time-limited to what is deemed necessary to ensure reliable operation and continuity of the existing production system and the accompanying business critical administrative functions until the contracting authority has completed strategic clarification, market dialogue and any procurements. The agreement period is 3 years, which is the minimum time for binding. Legal basis The contracting authority assesses that the terms for direct contract award are fulfilled for the temporary contract. The legal basis will particularly be assessed against the procurement regulations § 13-4 letter b no. 2 and/or no. 3, where the procurement without a competition can be used when the service can only be delivered by a specific supplier for technical reasons or due to sole rights, provided that there are no reasonable alternatives and that the missing competition is not due to the contracting authority having adapted the procurement to a specific tenderer. The contracting authority emphasises that the assessment concerns a narrow and temporary continuation of the existing production system and associated activity critical administrative functions in a limited transition period. This does not apply to a general assessment of the market for future administrative digital systems and it does not involve a permanent choice of future platform, system architecture or supplier. The contracting authority estimates that at the time of the temporary contract there is not a reasonable and reliable alternative to Vivicta AS in order to ensure continuity of the existing ERP system in the period. The lack of competition is related to time critical and technical/operational continuation of an established production system, not to the contracting authority ́s future strategic needs. Subsidially, the need will also be assessed in light of the narrow exception rules on time-critical conditions and the necessary measures to safeguard continuity, but the contracting authority places decisive emphasis on the contract being for the technical and operational continuation of the existing system, not permanent choice of future ERP system.
